Foxshorthub Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User" or "You") and [Foxshorthub], a company registered at 1234 Main Street, Suite 500, Los Angeles, CA 90015, United States (the "Company"), which operates the web-based short drama streaming platform known as "Foxshorthub" (the "Platform" or "Service"). If you are using the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and "You" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

1. Service Description

1.1 The Platform provides users with access to a curated library of short drama content (the "Content"), including but not limited to video episodes, subtitles, and related metadata. The Service also includes account management, personalized content recommendations, and (where applicable) paid membership benefits.

1.2 The Company reserves the right to modify, update, or discontinue any part of the Service at its sole discretion, including adding or removing Content, features, or functionality. The Company will use reasonable efforts to notify users of material changes to the Service, but users are responsible for regularly reviewing these Terms and any service updates.

1.3 Access to the Service requires a compatible device (e.g., computer, smartphone, tablet), a stable internet connection, and compliance with the technical requirements specified on the Platform's help center. The User is solely responsible for all costs associated with accessing the Service, including internet service fees and device-related expenses.

2. User Eligibility and Account Registration

2.1 To register an account on the Platform, you must be at least 16 years of age. If you are between 16 and 18 years of age, you must obtain parental or legal guardian consent before using the Service, and your guardian shall be responsible for your compliance with these Terms.

2.2 When registering an account, you agree to provide accurate, current, and complete information (including a valid email address) and to update such information promptly if it changes. The Company reserves the right to suspend or terminate accounts that use false or misleading information.

2.3 You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities conducted under your account. 3. User Obligations and Prohibited Conduct

3.1 When using the Service, you agree to comply with all applicable laws, regulations, and these Terms. You specifically agree not to engage in any of the following prohibited conduct:

• Uploading, posting, or transmitting any content that is illegal, defamatory, obscene, harassing, discriminatory, or infringing of third-party rights (including copyright, trademark, privacy, or publicity rights);
• Circumventing or attempting to circumvent any technical measures implemented by the Company or its licensors to protect the Content (e.g., digital rights management (DRM) systems);
• Downloading, copying, reproducing, modifying, distributing, or publicly displaying Content without the prior written permission of the Company or the relevant Content owner;
• Using the Service for commercial purposes without explicit authorization, including but not limited to selling access to the Platform, monetizing Content, or promoting third-party products/services without approval;
• Engaging in any activity that disrupts or impairs the Service, such as sending spam, launching malware, or overloading the Platform's servers;
• Impersonating the Company, its employees, or other users, or falsifying your affiliation with any entity;
• Collecting or harvesting personal information of other users without their consent.

3.2 The Company may, at its sole discretion, remove any user-generated content that violates these Terms and take disciplinary action against offending accounts, including warnings, temporary suspension, or permanent termination.

4. Content Rights and Usage

4.1 All Content available on the Platform is the exclusive property of the Company or its licensors (e.g., content producers, distributors) and is protected by copyright, trademark, and other intellectual property laws. The Service grants you a limited, non-exclusive, non-transferable, and revocable license to access and stream Content solely for your personal, non-commercial use.

4.2 The license granted herein does not include any right to download, store, or make permanent copies of Content, except as explicitly permitted by the Platform's offline viewing feature (where available). Offline Content may only be accessed during your active membership period and will expire after a specified period, as indicated in the Platform's settings.

4.3 Any trademarks, logos, and service marks displayed on the Platform (including "Foxshorthub") are the property of the Company or their respective owners. You may not use such trademarks without the prior written permission of the relevant owner.

4.4 The Company does not endorse any opinions expressed in the Content and reserves the right to remove or filter Content at its sole discretion, including Content that violates these Terms or is deemed inappropriate for the Platform's audience.

5. Paid Membership and Billing

5.1 The Platform offers both free and paid membership plans. Paid membership terms (including pricing, benefits, and billing cycles) are specified on the Platform's subscription page and may vary by region or promotional offer.

5.2 By subscribing to a paid membership, you agree to pay the applicable fees (including taxes) using the payment method you provide. The Company will charge your payment method on a recurring basis (e.g., monthly, annually) unless you cancel your subscription before the end of the current billing cycle.

5.3 Subscription cancellation can be completed through your account settings. Cancellations take effect at the end of the current billing cycle; no refunds will be issued for partial billing periods, except as required by applicable law. The Company reserves the right to adjust membership fees with prior notice (at least 30 days for material changes).

5.4 The Company uses third-party payment processors to handle billing transactions. These processors have their own terms of service and privacy policies, and the Company shall not be liable for any errors or issues arising from their services, provided the Company has acted in good faith.

6. Limitation of Liability

6.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or exemplary damages (including loss of profits, data, or goodwill) arising out of or in connection with the Service, even if the Company has been advised of the possibility of such damages.

6.2 The Company's total liability to you for any claim arising from the Service shall not exceed the amount you have paid to the Company for the Service in the 12 months preceding the claim. This limitation applies regardless of the legal basis for the claim (e.g., breach of contract, negligence, or strict liability).

6.3 The Company does not warrant that the Service will be uninterrupted, error-free, or secure. The Company does not guarantee the accuracy, completeness, or timeliness of the Content.

6.4 The limitations of liability in this Section shall not apply to (a) damages caused by the Company's gross negligence or willful misconduct; (b) personal injury or property damage; (c) claims arising under applicable data protection laws; or (d) any other liability that cannot be excluded by law.

7. Termination

7.1 These Terms shall remain in effect until terminated by either party. You may terminate your account at any time by following the instructions in the Platform's account settings. Upon termination, your access to the Service will be revoked, and you will no longer be able to access your account or any Content associated with it.

7.2 The Company may terminate these Terms or suspend your account immediately, without prior notice, if you violate any provision of these Terms, engage in fraudulent or illegal activity, or if the Company is required to do so by law. Upon termination by the Company for cause, you shall not be entitled to a refund of any unused membership fees.

7.3 Sections 4 (Content Rights and Usage), 6 (Limitation of Liability), 8 (Dispute Resolution), and 9 (General Provisions) shall survive the termination of these Terms.

8. Dispute Resolution

8.1 Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between you and the Company. You may initiate such negotiation by sending a written notice to the Company at [email protected], describing the nature of the dispute and your proposed resolution.

8.2 If the dispute is not resolved within 30 days of the notice, either party may submit the dispute to binding arbitration in Los Angeles, California, United States, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English, and the decision of the arbitrator(s) shall be final and binding on both parties.

8.3 Notwithstanding the above, either party may seek interim injunctive relief from a court of competent jurisdiction to protect its intellectual property rights or prevent irreparable harm, without waiving the right to arbitration for other claims.

8.4 These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

9. General Provisions

9.1 The Company may modify these Terms from time to time. Material modifications will be notified to users via email, in-app notification, or a prominent notice on the Platform, and will take effect 30 days after the notification. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes.

9.2 If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

9.3 The failure of the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or the Company's right to enforce it in the future.

9.4 You may not assign these Terms or any of your rights or obligations hereunder without the prior written permission of the Company. The Company may assign these Terms to a third party in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to be bound by these Terms.

9.5 These Terms, together with the Foxshorthub Privacy Policy, constitute the entire agreement between you and the Company with respect to the Service, and supersede all prior or contemporaneous agreements, understandings, or representations, whether oral or written.
